Terms of Service

Terms and conditions governing your use of our logistics and shipping services.

Effective date: March 2025

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the website, platforms, and logistics services provided by Williams Logistic ("we", "us", or "our"). By accessing our website, requesting quotes, placing orders, or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services. We recommend that you read these Terms carefully and keep a copy for your records.

2. Description of Services

We provide international logistics and shipping services, including but not limited to air freight, ocean freight, rail freight, warehousing, customs clearance, last-mile delivery, and related consulting. Services are described in quotes and order confirmations. We reserve the right to modify, suspend, or discontinue any service with reasonable notice where practicable, subject to our obligations under existing agreements.

3. User Obligations

You agree to:

  • Provide accurate, complete, and current information for quotes, orders, and customs documentation.
  • Comply with all applicable laws and regulations regarding the shipment of goods, including export, import, and customs requirements.
  • Not use our services for any illegal purpose or to ship prohibited or restricted items without proper authorization.
  • Not misrepresent the nature, value, or origin of goods or provide false documentation.
  • Pay all amounts due in accordance with agreed payment terms and these Terms.

4. Quotes, Orders & Payment

Quotes are valid for the period stated and are subject to availability and the accuracy of the information you provide. Placing an order constitutes acceptance of the applicable quote and these Terms. We may require payment or a deposit before arranging shipment. Payment terms (e.g., NET 30/60) may be offered to qualified clients at our discretion. Late payments may incur interest and we may suspend services until payment is received. All fees are in the currency specified in the quote unless otherwise agreed.

5. Liability & Limitations

To the fullest extent permitted by law, our liability for any claim arising from or related to our services is limited to the lesser of: (a) the amount you paid us for the specific shipment or service giving rise to the claim, or (b) the amount recoverable from our carriers or insurers for that shipment. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, or business opportunity. These limitations apply regardless of the theory of liability. Some jurisdictions do not allow certain limitations; where applicable, our liability will be limited to the maximum extent permitted by law.

6. Insurance & Loss or Damage

Carriage is generally subject to the terms and limits of liability of the underlying carriers (e.g., CMR, Warsaw/Montreal conventions, or bill of lading terms). We can arrange additional cargo insurance at your request and cost. If you do not request additional insurance, your recovery for loss or damage may be limited to the carrier's standard limits. You must notify us and the carrier promptly of any loss or damage and comply with claim procedures; failure to do so may affect your rights.

7. Customs & Compliance

You are responsible for ensuring that your goods and documentation comply with all applicable export, import, and customs laws. We may assist with customs clearance as part of our services, but we do not guarantee clearance and are not responsible for delays, seizures, or penalties resulting from incorrect or incomplete information you provide or from regulatory changes. Duties, taxes, and customs fees are typically your responsibility unless otherwise agreed in writing.

8. Intellectual Property

Our website, branding, content, and materials are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or use them for commercial purposes without our prior written consent. You retain ownership of your data; by using our services you grant us a limited license to use that data as necessary to perform the services.

9. Termination

We may suspend or terminate your access to our services or website if you breach these Terms or for operational or legal reasons. You may stop using our services at any time. Termination does not relieve you of obligations for services already performed or amounts owed. Provisions that by their nature should survive (including liability limitations, indemnity, and dispute resolution) will survive termination.

10. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to the courts with jurisdiction in Guangzhou, China, unless mandatory law in your jurisdiction requires otherwise. Nothing in these Terms affects your statutory rights as a consumer where applicable.

11. Changes to Terms

We may update these Terms from time to time. We will post the updated version on this page and indicate the effective date. For existing contracts, the terms in effect at the time of the order continue to apply to that order unless otherwise agreed. Continued use of our services after changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
